1. Who we are

Terroir (the "Service") is operated by MAS Hospitality LLC ("we", "us", "our"). By accessing or using the Service you are entering into a binding agreement with MAS Hospitality LLC.

2. Acceptance

By creating an account or continuing to use the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. You must be of legal age in your jurisdiction and have authority to bind any organization on whose behalf you use the Service.

3. The Service

Terroir is a digital flavor companion that helps users explore taste, build pairings, and scan menus. The Service is provided on an "as is" basis and we do not guarantee uninterrupted or error-free operation.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and keep it up to date.

The Service uses generative AI to produce flavor analyses, pairings, and menu scans. Outputs may be inaccurate or incomplete and should not be relied on as professional culinary, medical, allergen, or dietary advice. You are responsible for your prompts, how you use outputs, verifying accuracy, and ensuring you have rights to any content you upload. We may moderate, restrict, or remove content and refuse or filter outputs at our discretion. If you have allergies or dietary restrictions, always confirm ingredients directly with the restaurant.

7. Intellectual property

We retain all right, title, and interest in the Service, including software, content, branding, and documentation. We grant you a limited, non-exclusive, non-transferable right to use the Service within your chosen plan. You retain ownership of content you submit and grant us a limited license to host and process it solely to operate the Service.

8. Subscriptions and payment

Paid plans (such as Terroir Reserve) are billed on a recurring basis. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. You may cancel at any time; cancellation takes effect at the end of your current billing period.

9. Suspension and termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends and we may delete your data after a reasonable export window.

10. Disclaimers and liability

To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose. Our aggregate liability for any claim arising out of the Service is limited to the fees you paid to us in the twelve months preceding the claim. We are not liable for indirect, consequential, or special damages, including lost profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury where prohibited by law.

11. Indemnity

You agree to indemnify MAS Hospitality LLC against claims arising from your content, your unlawful use of the Service, or your violation of these Terms.

12. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. The state and federal courts located in Delaware will have exclusive jurisdiction.

13. Changes

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after changes constitutes acceptance.
